RAFFINE CFS Terms of Service

Welcome to RAFFINE CFS Management System. These Terms of Service ("Terms") govern your access to and use of our Container Freight Station (CFS) and logistics management software platform. By accessing or using the software, you agree to be bound by these Terms.
If you do not agree with any of these terms, you must not access or use the software.
1. Service Description
RAFFINE CFS provides a comprehensive logistics management platform for:
- Container Freight Station (CFS) operations management
- Consignment tracking and clearance stage management
- Customs documentation and IDF/Entry processing
- Transport and delivery coordination
- Customer and stakeholder management
- Billing, invoicing, and financial reporting
- Document management and file storage
2. User Accounts and Access
- 2.1. Account Creation:
- User accounts are created by authorized administrators within your organization
- You must provide accurate information when your account is created
- Each user must have their own unique account; sharing credentials is prohibited
- 2.2. Account Security:
- You are responsible for maintaining the confidentiality of your login credentials
- You must immediately notify your administrator of any unauthorized access
- We strongly recommend enabling two-factor authentication (2FA)
- You are responsible for all activities conducted under your account
- 2.3. Access Permissions:
- Your access level is determined by your assigned role and permissions
- Administrators may modify your permissions at any time
- You may only access data and features authorized for your role
3. Acceptable Use
You agree to use the software only for legitimate business purposes related to logistics and freight operations:
- 3.1. Permitted Uses:
- Managing consignments, containers, and cargo operations
- Processing customs documentation and clearance
- Coordinating transport and delivery services
- Managing customer relationships and communications
- Generating invoices, reports, and business documentation
- 3.2. Prohibited Activities:
- Accessing data or features beyond your authorized permissions
- Attempting to bypass security measures or authentication
- Sharing login credentials with unauthorized persons
- Uploading malicious files, viruses, or harmful content
- Using the system for illegal activities including customs fraud
- Interfering with system operations or other users' access
- Scraping, copying, or extracting data for unauthorized purposes
- Reverse engineering or attempting to access source code
4. Data Accuracy and Responsibility
- 4.1. Data Entry:
- You are responsible for the accuracy of data you enter into the system
- Consignment details, customs information, and financial data must be truthful
- Intentionally entering false information is a violation of these Terms
- 4.2. Document Uploads:
- You may only upload legitimate business documents
- Uploaded documents must be relevant to the consignment or operation
- You retain responsibility for the authenticity of uploaded documents
- 4.3. Verification:
- Critical data such as customs entries and financial figures should be verified
- The system assists with calculations but final verification is your responsibility
5. Intellectual Property
- 5.1. Software Ownership:
- RAFFINE CFS software, including all code, designs, and features, is owned by RAFFINE
- You receive a limited, non-exclusive license to use the software
- This license does not transfer any ownership rights to you
- 5.2. Your Data:
- Your organization retains ownership of business data entered into the system
- You grant us license to process your data as necessary to provide services
- We will not sell your business data to third parties
- 5.3. Restrictions:
- You may not copy, modify, or create derivative works of the software
- You may not sublicense, sell, or redistribute the software
- You may not remove any proprietary notices or labels
6. Service Availability
- 6.1. Uptime:
- We strive to maintain high availability but do not guarantee 100% uptime
- Scheduled maintenance will be communicated in advance when possible
- Emergency maintenance may occur without prior notice
- 6.2. Modifications:
- We may update, modify, or enhance features at any time
- We may discontinue features with reasonable notice
- Critical changes affecting operations will be communicated to administrators
7. Fees and Payment
- Service fees are governed by the contract between RAFFINE and your organization
- Non-payment may result in suspension or termination of access
- SMS notifications and certain features may incur additional charges
- Fee changes will be communicated with reasonable advance notice
8. Confidentiality
- 8.1. Your Obligations:
- Keep all business data accessed through the system confidential
- Do not disclose customer, consignment, or financial information to unauthorized parties
- Follow your organization's confidentiality policies
- 8.2. Our Obligations:
- We maintain confidentiality of your business data
- Access by our staff is limited to support and maintenance purposes
- We implement security measures to protect against unauthorized disclosure
9. Compliance with Laws
You agree to comply with all applicable laws and regulations:
- Kenya Revenue Authority (KRA) customs regulations
- Kenya Ports Authority (KPA) requirements
- Data protection and privacy laws
- Anti-money laundering (AML) regulations
- International trade and sanctions compliance
- Tax and financial reporting requirements
10. Limitation of Liability
- The software is provided "as is" without warranties of any kind
- We do not guarantee the accuracy of calculations, reports, or generated documents
- You are responsible for verifying critical business and customs data
- We are not liable for delays, losses, or damages arising from customs issues
- Our liability is limited to the fees paid for the service period
- We are not responsible for third-party services (SMS providers, etc.)
- We are not liable for data loss due to user error or unauthorized access to your account
11. Indemnification
You agree to indemnify and hold RAFFINE harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your misuse of the software
- Inaccurate data you enter into the system
- Your violation of applicable laws or regulations
- Claims by third parties related to your use of the service
12. Termination
- 12.1. By Your Organization:
- Your administrator may disable your account at any time
- Your organization may terminate the service agreement per contract terms
- 12.2. By RAFFINE:
- We may suspend access for violation of these Terms
- We may terminate service for non-payment or contract breach
- We may immediately terminate access for illegal activities
- 12.3. Effect of Termination:
- Upon termination, your access to the system will be revoked
- Your organization may request data export before termination
- We retain archived data as required by law
13. Dispute Resolution
- Disputes should first be addressed through your organization's administrator
- Contract disputes between organizations and RAFFINE will be resolved through negotiation
- If negotiation fails, disputes will be referred to arbitration in Nairobi, Kenya
- These Terms are governed by the laws of Kenya
14. Changes to Terms
We may update these Terms to reflect changes in our services or legal requirements. We will notify administrators of material changes, and the effective date will be updated. Continued use after changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
